Terms of Service

1. Agreement to Terms

By accessing or using Somie ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all users, including businesses ("Business Users") and content creators ("Creators").

2. Description of Service

Somie is a two-sided marketplace that connects local businesses with social media creators for influencer marketing campaigns. Businesses post offers; Creators apply and, if accepted, produce content in exchange for compensation (flat fees, products, or other consideration). Somie facilitates these connections but is not a party to any agreement between a Business User and a Creator.

3. Eligibility

You must be at least 18 years old to use the Platform. By registering, you represent that you meet this requirement and that all information you provide is accurate and complete. Businesses must be legally registered entities. Creators must own or have the legal right to operate their social media accounts.

4. Accounts and Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@somie.app of any unauthorized use of your account. Somie is not liable for any loss resulting from unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms or for any other reason at our sole discretion.

5. Business Users

By registering as a Business User, you agree that:

  • •All offer details are accurate, lawful, and not misleading.
  • •You will honor accepted offers and provide the promised compensation to Creators.
  • •You will not misrepresent your business, products, or services.
  • •You are responsible for complying with all applicable laws, including FTC guidelines on disclosures.
  • •You will submit accurate verification documents and not attempt to deceive the verification process.
  • •Subscription fees are non-refundable except as required by law.

6. Creators

By registering as a Creator, you agree that:

  • •Your follower count, engagement rate, and other metrics are accurate. Inflated or purchased followers are grounds for immediate account termination.
  • •You will complete accepted campaigns honestly and on time.
  • •All content you create will be original, compliant with applicable platform terms, and will include proper FTC-required disclosures (e.g., #ad, #sponsored).
  • •You retain ownership of content you create, but grant the Business User a license to use it as agreed in the offer terms.
  • •You are an independent contractor, not an employee of Somie or the Business User.
  • •You are solely responsible for reporting and paying any applicable taxes on compensation received.

7. Prohibited Conduct

You agree not to:

  • •Use the Platform for any unlawful purpose.
  • •Post false, misleading, or fraudulent content or offers.
  • •Harass, defame, or discriminate against other users.
  • •Attempt to circumvent fees by transacting with matched parties outside the Platform.
  • •Scrape, reverse-engineer, or otherwise extract data from the Platform.
  • •Impersonate any person or entity.
  • •Upload or transmit viruses or other malicious code.

8. Payment and Fees

Business Users pay subscription fees as displayed on our pricing page. All fees are in USD and are billed in advance on a monthly or annual basis. Failure to pay may result in suspension of your account. Somie uses Stripe to process payments; by subscribing you agree to Stripe's terms of service. Somie does not store payment card information.

Compensation between Business Users and Creators is agreed upon through the Platform but fulfilled directly. Somie is not responsible for any disputes regarding compensation not fulfilled by a Business User.

9. Ratings and Reviews

After a campaign, both parties may leave ratings. All ratings must be truthful and based on genuine experience. Somie reserves the right to remove ratings that violate these Terms or are demonstrably false. Ratings are public and may affect a user's ability to participate on the Platform.

10. Intellectual Property

The Platform and its original content, features, and functionality are owned by Somie and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce or distribute Platform content without our written permission.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. SOMIE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. SOMIE DOES NOT GUARANTEE ANY RESULTS FROM USE OF THE PLATFORM, INCLUDING CAMPAIGN SUCCESS, FOLLOWER GROWTH, OR BUSINESS OUTCOMES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOMIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. SOMIE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO SOMIE IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Somie and its officers, directors, employees, and agents from any claims, damages, or expenses (including attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Austin, Texas, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or prominent notice on the Platform. Continued use after changes constitutes acceptance of the new Terms.
